THE AGREEMENT
By accessing the services, software, or platforms provided by Agent Gab LLC (“Company”, “We”, “Us”), you (“Client”, “You”) agree to be bound by these Terms and Conditions. You represent that you are at least 18 years of age and have the legal authority to bind your business or entity to this contract.
FEES AND PAYMENT TERMS
Billing Cycle: Services are billed in advance on the date of signup and every month (or year, for annual plans) thereafter.
Late Fees: Any payment not received within seven (7) days of the due date will incur a 1.5% monthly late fee on the outstanding balance.
Declined Payments: A fee of $25.00 (or the maximum allowed by law) will be applied to the Client’s account for any declined credit card transaction or failed ACH payment.
Add-on/Usage Fees: For annual subscribers, failure to pay monthly usage fees (e.g., SMS, Email credits, AI tokens) constitutes a breach of payment terms and is subject to the Suspension policy in Section 3.
NON-PAYMENT, SUSPENSION, AND DELETION
This section constitutes your "Right to Suspend" for non-payment:
30 Days (Account Suspension/Pause): If an account remains unpaid for 30 days, Agent Gab LLC will automatically "Pause" the account. Restricted Access will be enforced: The Client may log in to view billing, but all public-facing services (Websites, Automations, Chatbots, Integrations, and API Connections) will be disconnected and disabled.
90 Days (Account Deletion): If an account remains unpaid for 90 days, the account will be moved to "Deleted Status." All configurations and data will be removed from active production servers.
Data Recovery Window: Between day 91 and day 120 of non-payment, the Client may request a restoration. Restoration is subject to a $500.00 Recovery Fee plus the Full Outstanding Balance of the account.
Final Termination: After 120 total days of non-payment (90 days + 30-day recovery window), all data is permanently purged. Recovery will be impossible, and the Client must start from scratch as a new customer.
INTELLECTUAL PROPERTY & OWNERSHIP
Client Content: The Client retains all rights to their original content (logos, images, copy, and customer lists).
Proprietary Logic (Agent Gab IP): All "Behind the Scenes" data, including but not limited to automations, workflows, chatbot logic, proprietary code, templates, and system integrations, are the sole and exclusive property of Agent Gab LLC.
Non-Exportability: Upon cancellation or termination of service, the Client is not entitled to export, copy, or "take" any automations or proprietary logic created within the Agent Gab platform. These assets are strictly proprietary and are licensed to the Client only during an active, paid subscription.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, Agent Gab LLC shall not be liable for any loss of revenue, loss of profits, loss of data, or incidental/consequential damages resulting from:
- Account suspension or deletion due to non-payment.
- Service interruptions or Force Majeure events.
- The disconnection of third-party integrations (Social Media, Twilio, etc.) due to account delinquency. The Client acknowledges that "Pausing" an account is a direct result of their failure to pay and waives all claims for business loss during the suspension period.
ARBITRATION & GOVERNING LAW
Any dispute arising from these terms will be settled via binding arbitration in Milwaukee, Wisconsin, under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

For any inquiries and ongoing communication, the “Client’s” main point of contact will be their assigned Account Manager.
Any outstanding invoices will be going through Agent Gab’s Accounting department.
